Terms of Service

The following terms and conditions govern all use of the Dev8 Labs website and all content, services, and products available at or through the website, including, but not limited to, our clinical marketing and review management services (our "Services"). Our Services are offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, Dev8 Labs's Privacy Policy) and procedures that may be published from time to time by Dev8 Labs (collectively, the "Agreement"). You agree that we may automatically upgrade our Services, and these terms will apply to any upgrades. Your agreement is with Dev8 Labs ("we" or "us").

Please read this Agreement carefully before accessing or using our Services. By accessing or using any part of our services, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access or use any of our services.

1. Eligibility & Registration

1.1 Our Services are strictly B2B and directed to dental practices and clinical entities. Access and use of our Services are not offered to individuals under 18 years of age. Any person who registers as a user represents that they are an authorized representative of a legitimate dental practice.

1.2 Use of our Services requires a client account. You agree to provide us with complete and accurate business information when you register for an account. You will be solely responsible and liable for any activity that occurs under your account. You are responsible for keeping your credentials secure.

1.3 Dev8 Labs will not be liable for any loss or damage as a result of your failure to provide us with accurate information or to keep your Account secure.

2. Support

Dev8 Labs provides dedicated support for all our clients via email. We aim to respond to support inquiries within 1 business day to ensure your practice receives timely assistance with our review management platforms and digital workflows.

3. Prohibited Uses

When using our Services, you agree not to:

• Publish material or engage in activity that is illegal under applicable law or breaches GDC guidelines.
• Submit any Special Category Data (e.g., patient health records) through our public contact forms.
• Interfere with, disrupt, or attack any service, network, or third-party review platform API.
• Reverse engineer or otherwise attempt to derive any source code or underlying logic of our digital routing workflows.

4. Payment and Renewal

4.1 Dev8 Labs offers different levels of service based on monthly subscriptions. By signing up for a particular service tier, you agree to pay Dev8 Labs the applicable monthly fees. Unless you notify us before the end of your subscription period that you no longer wish to use the service, your subscription will renew automatically. We will notify you of any pricing changes before your subscription is set to renew. You authorize us to charge any then-applicable fees to your payment method on file.

4.2 Payment failures may result in the suspension of your review management services and a pause in our monitoring integrations.

5. Intellectual Property

This Agreement does not transfer from Dev8 Labs to you any Dev8 Labs or third-party intellectual property, and all right, title, and interest in and to such property will remain solely with Dev8 Labs. Your use of our Services grants you no right or license to reproduce or otherwise use any Dev8 Labs trademarks or proprietary workflows.

6. Publicity

Each Client agrees that Dev8 Labs may include the Client's practice name and logo in a list of Dev8 Labs clients, online or in promotional materials, unless explicitly opted out by emailing hello@dev8labs.co.uk.

7. Termination

Dev8 Labs may terminate your access to all or any part of our Services at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement, you may contact your account manager to initiate the offboarding process. All provisions of this Agreement which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimer of Warranties

Our Services are provided "as is". Dev8 Labs and its suppliers hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement. Dev8 Labs makes no warranty that our Services will be error-free or that access thereto will be continuous or uninterrupted.

9. Limitation of Liability

In no event will Dev8 Labs, or its suppliers, be liable with respect to any subject matter of this Agreement under any contract, negligence, strict liability, or other legal theory for: (i) any special, incidental, or consequential damages; (ii) the cost of procurement for substitute services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to Dev8 Labs under this agreement during the twelve (12) month period prior to the cause of action. The foregoing shall not apply to the extent prohibited by applicable law.

10. Indemnification

You agree to indemnify and hold harmless Dev8 Labs, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your use of our Services, including but not limited to your violation of this Agreement.

11. Disputes and Applicable Law

This Agreement shall be governed by the laws of England and Wales. The parties agree that the courts of London, UK shall have exclusive jurisdiction to settle any dispute arising out of this Agreement.
